By accessing this website or any Active Diligence Record, certificate, or badge page on it (the "Site"), you agree to these Terms of Use.

1. What a Record Is

An Active Diligence Record reports verification status only: what was checked, against which source, and the date it was last reviewed. It reflects the entity, the persons designated by the issuer, and the information available as of the dates shown. It is not investment advice, a rating, a recommendation, a guarantee, an approval, an endorsement, or a legal opinion, and it is not an offer to sell or a solicitation of an offer to buy any security.

2. What a Record Is Not

No regulator reviews or approves a private offering, and nothing on this Site states or implies otherwise. A Record speaks as of its review date and does not speak to any later date or event. InvestSecure verifies entities, people and processes as designated and disclosed by the issuer — it does not independently discover undisclosed persons, and it does not verify investment performance or the merits, terms, or suitability of any offering. Your investment decisions are yours, made with your own advisers.

3. Access

Records that are not invite-only are available at their published addresses. Where an issuer elects an invite-only Record, it is available only through credentials or QR codes the issuer distributes, which the issuer may revoke at any time; access through a revoked credential is unauthorized. You may not circumvent access controls, scrape or bulk-download Site content, frame or mirror Records, or present any Record or badge in a manner that misstates its status or scope.

4. Status and Currency

Record statuses (Active, Lapsed, Expired) and per-point statuses reflect the review schedule and sources stated on the Record. Every status is an observation of what was found in the sources reviewed as of a date — it is not a conclusion about any person, entity, exemption, or transaction. A status can change; the Record you view reflects the last completed review, not a continuous feed.

5. Intellectual Property

The Site, the InvestSecure marks, the badge artwork, and the form and presentation of Records are InvestSecure's property. Issuers' names and marks belong to the issuers. Viewing a Record grants no license beyond viewing it.

6. No Reliance; No Liability

The Site is provided as-is and for information only. You may not rely on the Site or any Record as a basis for any investment decision. To the maximum extent permitted by law, InvestSecure LLC has no liability to any visitor for any loss arising from use of, or reliance on, the Site or any Record.

7. General

Governing law: State of Florida. Our Privacy Policy, posted on the Site at /privacy, describes what the Site collects and forms part of these Terms of Use. These Terms of Use may be updated from time to time; the version posted governs your use. Questions: contact@investsecure.org.
